Terms of Service
Last updated: 1 November 2026
This is the agreement between your shop and Klyvelo. It covers what you get, what you pay, how to leave, and what each of us is responsible for. We have kept it as plain as we can. Please read it before you create an account.
The short version
- Every shop starts on the Free plan. You pay nothing until you upgrade, and paying starts the day you do.
- When you pay by card on file (Paystack), a paid plan renews by itself, monthly or yearly, until you cancel. We say so next to the pay button, and cancelling takes one tap on Plan and billing. You keep what you paid for until the end of that month or year. We do not refund a month that has already started.
- While Yoco takes our payments, each payment is once-off, for a month or a year. Nothing renews by itself and there is nothing to cancel: we remind you before it ends, and if you do not pay, your shop moves to Free after a few days' grace.
- If a payment fails, you get 7 days with everything working, then you move to Free. Your point of sale keeps selling and your data stays.
- Your data is yours. You can export it whenever you like.
- You are responsible for your own shop: your licences, your tax and VAT, your slips and tax invoices, what you sell and to whom, and your customers' consent to messages.
- Please note section 21: the service comes as it is, without a promise of uninterrupted service, and it limits what Klyvelo can be held liable for (to what you paid us in the 12 months before the claim, and never for indirect loss). Section 22 sets out the claims you cover us for. Neither takes away a right the Consumer Protection Act gives you, and neither covers our gross negligence or fraud.
1. Who we are
Klyvelo is run by Klyvelo (Pty) Ltd, a private company registered in South Africa with registration number 2026/842870/07. You can e-mail us at our help address. Klyvelo is not registered for VAT.
Our business address will be published here.
Our full company details, as the Electronic Communications and Transactions Act asks, are on our Legal page.
2. Words we use
- "Klyvelo", "we", "us": Klyvelo (Pty) Ltd.
- "You", "your shop": the business that creates the Klyvelo account, and the person who accepts these terms for it.
- "The service": the Klyvelo point of sale app (on a phone, tablet or computer), the website and back office, the online hub that keeps your devices and stores in step, the messages they send, the integrations you switch on, and our support.
- "Your customers" and "members": the people who buy from you, and those whose details you keep in Klyvelo, for example to give them points.
- "Staff": the people you let use Klyvelo for your business.
- "Your data": everything you, your staff or your customers put into the service, such as sales, products, stock, members and staff.
- "These terms": this page and the pages it says form part of it: the Acceptable Use Policy, Refunds and cancellation and the Data Processing Terms. Our Privacy Policy explains how we handle personal information.
- "Business day": any day except a Saturday, Sunday or South African public holiday.
3. Your account
- Klyvelo is for businesses that trade in South Africa. You must be 18 or older and allowed to bind the business to these terms. By creating an account you confirm that you are.
- Give us true details (your name, e-mail address, mobile number and business details) and keep them up to date. We use them to bill you and to send you notices.
- Keep your password, two-step sign-in codes and your staff's PINs to yourselves. You are responsible for what happens under your account and your staff's logins, so remove staff who leave and tell us at once if you think someone else has got in.
- The owner of the account decides who else may use it, and with what role. We may treat instructions from the owner, or from an admin the owner has added, as instructions from your business.
- One business, one account. A business with several stores runs them from one account on a plan that allows it.
- Confirming your business. Before you can make real sales on a linked device, take a paid plan or send messages to your customers, we ask for documents that show your business is real and that you run it: an ID or passport, and for a company its CIPC registration certificate. A person at Klyvelo checks them. We may ask for a clearer copy or refuse an account we cannot confirm. Until the check is done you can set up and try Klyvelo. Once it is done we delete the files and keep only the result of the check; how and when is in our Privacy Policy.
4. The Free plan
- Every new shop starts on the Free plan. It costs nothing, needs no card and has no end date.
- The Free plan has limits, for example on devices, staff, products, members and how far back reports go. They are on our pricing page. At a limit, what you already have keeps working; adding more needs a paid plan.
- We may change what the Free plan includes. If a change takes away something you use, we will tell you at least 30 days before.
- We may close Free accounts that are used to get round paying, for example many accounts opened for one business.
- If nobody has signed in to a Free account, and none of its devices has synced, for 12 months, we may close it. We e-mail you at least 30 days before, and you can export your data until then. Signing in or syncing once keeps the account open.
5. Paid plans, billing and renewal
- Plans. Starter, Growth and Pro are priced per store per month, and each takes as many stores as you like. Today Starter is R299 and Growth R599 a store; Pro is R999 for the first store and R499 for each extra store. What each includes, and the current prices, are on our pricing page and on the Plan and billing page in the app and on the website. An extra device above your plan's limit is R99 a month.
- No VAT. Klyvelo is not registered for VAT, so our prices include no VAT and our invoices and receipts are not tax invoices. You cannot claim input VAT on them. If we register for VAT, we will tell you at least 30 days before VAT is added, as a price change under section 7.
- Monthly or yearly, paid in advance. You choose monthly or yearly billing when you upgrade. A yearly plan costs 12 months' price less 20%, rounded to the whole rand.
- Two ways we take payment. Our payment provider is Paystack. While our Paystack account is still being set up, we take payments through Yoco instead, and the Plan and billing page says which one applies to you. Either way you type your card details on the provider's own page; Klyvelo never sees or stores your card number. You get a receipt by e-mail for every payment, and your past payments are on the Plan and billing page.
- By card on file (Paystack): automatic renewal. A paid plan renews by itself at the end of each month or year, and Paystack charges the card on file for the next period at the price then in force, until you cancel. Before you pay we say so next to the pay button: "Renews every month (or year) at R X until you cancel. Cancel any time on Plan and billing." The Plan and billing page always shows your next payment date and amount, and before a yearly plan renews we e-mail you to remind you, as set out in section 20.
- Through Yoco: once-off payments. While Yoco takes our payments, each payment is a once-off payment for one month or one year, from the later of the day you pay and the day you are already paid until. Nothing renews by itself, no card is kept on file, and so there is nothing to cancel. Before you pay we say so next to the pay button: "This is a once-off payment for 1 month (or 12 months). It does not renew by itself; we'll remind you before it ends." We e-mail you a week before your paid period ends and again the day before. If you do not pay, your shop keeps the plan for the grace days in section 8 and then moves to Free. A plan change takes effect when the new payment goes through; paying early never loses days.
- When paying starts. A paid plan starts, and your first period begins, on the day you pay for it. Because the paid features start as soon as you ask for them, the seven-day cooling-off in the Electronic Communications and Transactions Act generally does not apply (see section 20).
- Who may pay. Only the owner, an admin, or someone at your point of sale with the "Manage settings" permission can upgrade or change your plan. A payment through Yoco can only be made by the owner, signed in with the owner's Klyvelo login.
- Refunds are covered by Refunds and cancellation, which forms part of these terms.
6. WhatsApp allowance and bundles
- WhatsApp is switched off for now while Meta approves our message templates. Until it is on, messages to your customers go by e-mail, and we do not sell WhatsApp bundles. We will tell you by e-mail when it is switched on. If you bought a bundle before it was switched off, we refund it in full if you ask.
- Each paid plan includes a monthly allowance of WhatsApp messages per store (shown on the pricing page). An unused allowance does not carry over to the next month.
- While WhatsApp is on, you can buy extra message bundles in advance. Bundles do not expire while your account is open. Messages come off the month's allowance first, then off your bundles.
- When the allowance and bundles are used up, the point of sale uses another way to reach the customer where it can (such as e-mail or the QR code on the slip). It never blocks a sale.
- A receipt, points update or alert counts as one message. An offer or a "we miss you" message counts as four, because WhatsApp charges more for marketing messages. A message counts once we hand it to WhatsApp, even if the customer's phone is off or WhatsApp later refuses to deliver it.
- Refunds of bundles are on the Refunds and cancellation page.
7. Price changes
- We may change our prices. We will tell you by e-mail at least 30 days before a new price applies to you. It applies from your first payment after those 30 days.
- A yearly plan keeps the price you paid until the end of that year.
- If you do not agree with a new price, you can cancel before it applies, or move to Free. Nothing extra is charged.
- A special or founding price is only what that offer said, for as long as the offer said.
8. If a payment does not go through
We do not switch a shop off for a failed payment, and we charge no interest or penalty. When a paid period ends without payment:
- For 7 days (grace) everything keeps working, and the point of sale and the website remind you to update your card or pay. Paystack may try the card again in that time.
- After 7 days your business moves to the Free plan. The point of sale still sells, refunds, cashes up and syncs, your members keep their points, and you can export your data, within the Free plan's limits. Features outside Free pause; nothing is deleted. Paying again lifts this at once.
Because you pay in advance and fall back to Free rather than run up a debt, a failed payment does not leave you owing us money. If a payment is reversed through a chargeback after you have used the period, we may ask you to pay for that period.
9. Changing your plan
- Upgrades start straight away. When you move to a bigger plan, add a store or add devices, the change starts as soon as you pay for it, and your billing date moves to that day. The unused part of your old plan is taken off that first payment.
- Downgrades start at your next renewal. When you move to a smaller plan, or from yearly to monthly, you keep your current plan until the end of the period you paid for, and the smaller plan starts then.
- On a smaller plan, features and devices it does not include pause. Your data stays.
- How the unused part of a period is treated is on the Refunds and cancellation page.
10. Cancelling
- You can cancel a paid plan online at any time, with no cancellation fee: the "Cancel plan" button on the Plan and billing page (the owner or an admin on the website, or at the point of sale with the Administrator's PIN) stops the next payment at once. You can also e-mail our help address from the e-mail address on the account.
- Cancelling stops your plan from renewing. You keep everything you paid for until the end of the current month or year, and then your business moves to Free. We do not refund a month that has already started.
- While Yoco takes our payments there is no subscription and nothing to cancel: each payment is once-off (section 5). To stop, simply do not pay for the next period.
- Yearly plans have their own refund rule, on the Refunds and cancellation page.
- Cancelling does not close your account or delete anything. Your point of sale keeps selling on Free and you can come back to a paid plan whenever you like. To close the account, see section 11.
11. Closing your account: export and deletion
- Export at any time. While your account is open you can download your data (sales, products, stock, members and reports) as CSV files from the point of sale and the website, on any plan.
- Closing. To close your account and have your data deleted, the owner asks us by e-mail. We confirm it, cancel any paid plan, and give you 30 days to export what you need. Ask us if you need help getting it out.
- Deletion. After those 30 days we delete your business's data from the hub, and from our backups within a further 90 days. We keep only what the law requires us to keep, such as our own billing and tax records, for as long as it requires.
- Your devices. Data stored on your own devices stays on them until you delete it or uninstall the app. That part is yours to look after.
- Once you have exported your customers' information, you remain responsible for it.
- If we close an account under section 4, section 19 or section 23, the same 30 days to export apply, unless the law or a serious risk to other people stops us.
12. Acceptable use
Use Klyvelo only for lawful business, and follow our Acceptable Use Policy, which forms part of these terms. It covers messages to customers, goods you may not sell through Klyvelo, abuse of the service, security testing and reselling. You are responsible for your staff following it too.
13. Your duties as a shop
Klyvelo is a tool for running your shop. Running the shop, and the law that comes with it, stays with you.
13.1 Tax, VAT, slips and tax invoices
- You decide your prices, your VAT settings and what your slips say. If you are a VAT vendor, it is your job to make sure your slips and invoices meet the Value-Added Tax Act's rules for tax invoices, and that your VAT returns are right.
- Klyvelo's reports, cash-ups and accounting exports help you, but they do not replace your own records or your accountant. Check them, and keep the records the tax laws require for as long as they require.
13.2 Your customers' personal information
- Under the Protection of Personal Information Act (POPIA) your business is the responsible party for the information of your customers, members and staff. Klyvelo is your operator: we process it for you, under the Data Processing Terms, which form part of these terms.
- That means you must have a lawful reason for what you keep, tell your customers that you use Klyvelo, get the consent the law asks for (for example before sending marketing messages, or before using a feature that needs special personal information), honour people who withdraw it, and answer their requests to see, correct or delete their information. The point of sale's sign-up and consent screens help, but the wording and the decision are yours.
- Do not enrol children as members unless the law allows it and a parent or guardian has agreed.
13.3 Lawful trading
- You are responsible for every licence, permit and rule that applies to your business, for example trading licences, liquor licences, health and food safety rules, trading hours, weights and measures, and consumer law towards your own customers.
- If you let customers buy on the book (on account), you are responsible for any law that applies to that credit, including the National Credit Act if you charge interest or fees.
- Klyvelo does not make a product or a way of doing business lawful. We may suspend an account that we reasonably believe is being used for unlawful trade, and we co-operate with lawful requests from the authorities.
13.4 Age-restricted goods
- If you sell goods with a legal age limit (such as alcohol or tobacco), you and your staff alone are responsible for checking a buyer's age and for deciding who you sell to. Any age prompt in Klyvelo is a reminder, not a check.
- Do not use Klyvelo's WhatsApp messages to promote or sell age-restricted goods (see section 14).
13.5 Your devices and equipment
- You are responsible for your own devices, internet connection, printers, scales and card machines, and for keeping the devices that run Klyvelo secure (screen lock, up-to-date software, staff with their own PINs).
13.6 Vouchers, points and the book
- You set the rules for your vouchers, points and customer accounts, and you are responsible for them. If you sell a voucher or gift card for money, the Consumer Protection Act (section 63) generally requires it to stay valid for at least three years, so do not give a sold voucher a shorter end date.
- Points are a loyalty programme under section 35 of that Act: tell your members the rules, and honour points as promised. Klyvelo gives points on every way to pay unless you change it.
14. Messages to your customers
- Receipts and points updates may go to a customer who asked for them. Marketing messages (offers, specials, "we miss you" nudges) may only go to customers who opted in.
- Every marketing message says how to stop: reply STOP on WhatsApp, or the one-click "Stop offers" link in every offer or "we miss you" e-mail (which mail apps also show as their own Unsubscribe button). When someone stops, Klyvelo records it at once and sends them no more marketing from your shop (a STOP to Klyvelo's WhatsApp number stops marketing from every Klyvelo shop to that number). Do not add them back without fresh consent. Receipts and points updates are not marketing and carry no stop link; they say why the person is getting them.
- WhatsApp is switched off for now (see section 6). When it is on, WhatsApp messages go through Meta's WhatsApp Business Platform. Whether they go from Klyvelo's number with Klyvelo's approved message templates, or from your own WhatsApp Business number, you and your messages must also follow WhatsApp's Business Messaging Policy and Commerce Policy. Among other things these require opt-in, respect opt-outs, and do not allow promoting or selling some goods (for example alcohol, tobacco, medicines, weapons and gambling) on WhatsApp.
- When messages go from Klyvelo's number, we may refuse, hold back or change a message, or stop your shop's messages, if it would break those policies or put our number at risk. Meta may also limit or refuse messages, and we cannot overrule it.
- If you connect your own WhatsApp Business number, your agreement with Meta applies directly to you, and Meta's charges for those messages are yours.
- E-mail limits. E-mails sent through Klyvelo come from Klyvelo's mailbox with your shop's name, and your shop's address for replies. To protect our mail server, each business may send up to 500 e-mails a month on Free and 5 000 a month on a paid plan, and a new business up to 100 a day in its first week. A suspended business cannot send.
15. Integrations
You can connect Klyvelo to other companies' services. Today these are Xero and Sage Accounting (accounting), and Paystack and Yoco (how you pay us, section 5). WhatsApp messages (switched off for now, see section 6) and the Yoco card-machine link (card machines and payment links for your own sales) follow when they are available.
- Their terms apply too. Each service is run by its own company under its own terms and privacy policy, which you accept with that company. Klyvelo is not a party to them and is not responsible for those services, their fees, their availability or what they do with information you share with them.
- You choose. An integration only runs once you connect it, and you can disconnect it at any time in Settings → Connected apps. When you connect one, you authorise us to send and receive the information it needs, on your behalf, and only for that.
- Xero. On plans that include it, Klyvelo sends each trading day's sales to your Xero organisation as one paid sales invoice, made out to the contact "Klyvelo sales" and paid into a clearing account for each way to pay. Where an invoice does not fit (for example on Xero's Starter plan, or a day with more refunds than sales), the day goes as a manual journal instead, held for your accountant to approve unless you choose to post journals straight away. We check the last 7 days again each night and update a day that changed. You are responsible for checking what is sent. We use information from Xero only to run the integration for you; we never sell it, pass it to anyone else without your consent, or use it to train artificial intelligence models. Disconnecting stops new sends; what is already in Xero stays there.
- Sage Accounting. On plans that include it, Klyvelo sends each trading day's sales to your Sage Accounting (South Africa) company, in the same way as to Xero. Sage has no sign-in page of its own, so you give Klyvelo the e-mail address and password of a Sage user you make just for Klyvelo; we keep that password encrypted on our hub and use it only for the nightly send. The rest of the Xero rules above apply to Sage too.
- Yoco card-machine link (not available yet). When you connect your Yoco account, you allow Klyvelo to read your Yoco orders, payouts, product catalogue, staff, card machines and locations, and to create orders and payment links for your sales. Once Yoco allows it, Klyvelo can also ask your Yoco card machine to take a card payment for a sale. Card money goes from Yoco to you under your agreement with Yoco; it never passes through Klyvelo. Your Yoco access is kept encrypted on our hub and never sent to your devices.
- Paystack and Yoco, for paying us. Paystack (or, while our Paystack account is being set up, Yoco) processes your payments to Klyvelo under its own terms. Klyvelo does not process your customers' card payments.
- Changes. Another company may change or stop its service, which can change or end an integration. We will tell you as soon as we reasonably can, and the rest of Klyvelo keeps working. We may only use another company's name and logo as that company allows.
16. Availability, support and offline use
- Offline. The point of sale is built to keep selling when the internet or the hub is down: sales, refunds, points and the cash drawer work offline and catch up when the connection is back. Features that need the internet (the website, messages, keeping stores in step, Xero, and card machines that work online) wait until it returns.
- Availability. We aim to keep the hub and website available all the time, but we do not promise uninterrupted service and we give no service-level guarantee: there is no promised uptime, and no credit or refund for an outage (section 21). We may need planned maintenance, which we try to do outside trading hours, and outages can happen at our providers, at your internet provider, or during load-shedding.
- Backups. We back up the hub regularly. Information held only on a device that has not synced yet is at risk if that device is lost or broken, so let your devices sync.
- Support. We help by e-mail at our help address, on business days, and aim to answer within one business day. Pro includes priority support and help with setting up. We support the current version of the app; please keep it up to date.
- Changes to the service. We keep improving Klyvelo and may add, change or remove features. We will not take a core feature (selling, members and points, cash-up, reports) out of your paid plan during a period you have already paid for. If a change materially reduces what you pay for, we will tell you at least 30 days before, and you may cancel and get a pro rata refund of any prepaid period left.
17. Klyvelo support access
You allow Klyvelo staff to reach your account to help you, keep the service running and secure, and meet our legal duties, on these rules:
- Your whole account. So we can help you quickly, our support staff can see your whole account: your plan and billing, stores, devices and whether they are syncing, the website logins you have added (never passwords), settings, message usage, your members and their points, and your sales.
- Changes only to fix your problem. Support looks without changing anything, unless a change is needed to fix your problem (such as a points correction). A member's or owner's full ID number is kept locked in Klyvelo's vault: only Klyvelo support can open one, to confirm who is calling, after a fresh two-step sign-in each time, at most 20 an hour per person, and each time is logged. Faces are never shown.
- Logged and visible to you. Every look and change is logged with who, when and why, and you can see that log on your Account page.
- Who may call us. We only discuss your account with the owner and the contacts the owner names, after checking a code we send them.
18. Your data, our software, your ideas
- Your data is yours. You give us the right to host, copy, process and show it only as needed to provide the service to you and as these terms allow.
- Statistics. We may use information about how Klyvelo is used, combined and anonymised so that no shop, customer or person can be identified, to run and improve Klyvelo.
- Klyvelo is ours. The software, design, name and logo belong to Klyvelo or the people we license them from. While your account is open, you have a non-exclusive right, which you cannot transfer, to use the service for your own business. You may not copy, resell or take apart the software, except where the law allows it.
- Not for training AI. We do not use your data, your customers' data or any photos to train artificial intelligence models, and we will not without your explicit consent.
- Your ideas. If you send us suggestions or feedback, we may use them freely, without owing you anything. We will not name you without asking.
19. Suspension
- We may suspend all or part of your account if you seriously or repeatedly break these terms, if your use puts other shops, our systems, our WhatsApp number or people's personal information at risk, if we reasonably suspect fraud or unlawful trade, or if the law requires it.
- We will tell you first and give you a fair chance to put it right, unless the risk is urgent or the law stops us. We suspend only as much as we need to; where it is safe and lawful, your point of sale keeps selling.
- We lift a suspension once the reason for it is fixed. If it cannot be fixed, we may end these terms under section 23.
20. If consumer law applies to you
Klyvelo is a service for businesses. Some of the Consumer Protection Act, 2008 (CPA) and the consumer part of the Electronic Communications and Transactions Act, 2002 (ECTA) can still apply: the CPA to a sole proprietor, and to a company, close corporation or trust whose turnover and assets are both below R2 million a year; ECTA's consumer rights to a person (not a company) who uses the service.
- Where those Acts apply, nothing in these terms takes away a right they give you, and every term here is to be read so that it complies with them.
- Yearly plans (CPA section 14). If section 14 applies to you, you may cancel a yearly plan at any time on 20 business days' notice, and the refund on the Refunds and cancellation page is worked out from the end of that notice. Between 40 and 80 business days before your year ends, we will remind you in writing that it is ending, of any change that would apply, and of your choices. If you do nothing, your plan then carries on month to month at the monthly price, and you can cancel that at any time.
- Cooling-off (ECTA section 44). ECTA lets a consumer cancel an online purchase within seven days, but not for a service that began, with the consumer's agreement, within those seven days. A paid plan starts the moment you pay because you ask it to, so this right generally does not apply to it. It does apply to a WhatsApp bundle you have not used any of: you may cancel it within seven days for a full refund.
- If you are unhappy with how we have treated you as a consumer, you may also complain to the Consumer Goods and Services Ombud or the National Consumer Commission.
21. Liability
Please read this section carefully. It limits Klyvelo's responsibility to you.
- Our promise, and its limits. We provide the service with reasonable care and skill. Otherwise, and as far as the law allows, the service is provided "as is" and "as available": we do not promise that it will be uninterrupted, error-free, or suit every business, and we give no service-level guarantee, uptime promise or credits. Check your reports, cash-ups and tax returns yourself or with your accountant.
- Indirect loss. As far as the law allows, neither of us is liable to the other for indirect or consequential loss, or for loss of profit, income, revenue, sales, goodwill, data or business opportunity, even if it could have been foreseen.
- The cap. As far as the law allows, Klyvelo's total liability to you for all claims arising from the service, these terms or the Data Processing Terms, added together, whether in contract, delict or otherwise, is limited to the fees you paid Klyvelo in the 12 months before the event that gave rise to the claim. On the Free plan that is nothing, so our liability to you is then limited to R0, as far as the law allows.
- What the limits do not cover. The limits in this section do not apply to loss caused by our gross negligence, fraud or wilful misconduct (or that of anyone acting for us), to death or injury caused by our negligence, to your obligation to pay what you owe us, to your cover of our claims under section 22, or to anything else the law does not allow to be excluded or limited. Where the CPA applies to you, they apply only as far as the CPA allows, and nothing here takes away a right it gives you (including under sections 54 and 61).
- Things outside our control. Neither of us is responsible for a delay or failure caused by something beyond reasonable control, such as a national power or network failure, load-shedding, a failure at a provider we cannot reasonably replace, or a decision by Meta, Xero, Yoco or Paystack about their own service. We will tell you, and do what we reasonably can to limit the effect.
- Time to claim. Nothing in these terms shortens the time the law gives either of us to bring a claim.
22. Covering each other's claims
This section means each of us may have to pay the other's costs of certain claims by other people.
- You cover us against claims by other people (including your customers, staff, a regulator, Meta, Xero, Yoco or Paystack), and the reasonable costs of meeting them, to the extent they arise from: your unlawful use of the service; information you put into Klyvelo without a lawful reason; messages sent for your shop without the consent the law or WhatsApp's policies require; the goods and services you sell, and to whom; your tax and VAT; or your breach of the Acceptable Use Policy.
- We cover you against claims by other people that the Klyvelo software, used as these terms allow, infringes their intellectual property, and the reasonable costs of meeting them. If that happens we may change the software so it no longer infringes, get the right for you to keep using it, or, if neither is reasonably possible, end the affected part and refund any prepaid period left.
- The one who wants to be covered must tell the other promptly, let them handle the claim, and help reasonably, at their cost.
23. Ending these terms
- You can end these terms at any time by closing your account (section 11).
- We may end them on 60 days' written notice, for example if we stop offering the service. We then refund any prepaid period that is left, pro rata.
- We may end them sooner, on written notice, if you seriously break them and do not put it right within 14 days of our asking, or straight away if the breach cannot be put right (for example fraud), or if the law requires it.
- The sections that by their nature should carry on (export and deletion, liability, covering each other's claims, law and disputes) carry on after these terms end.
24. Law and disputes
- These terms are governed by the law of the Republic of South Africa.
- Talk to us first. If you have a complaint, e-mail our help address. We will acknowledge it within 2 business days and try to resolve it within 20 business days.
- Mediation, if we both want it. If we cannot resolve it, either of us may propose mediation by a mediator we agree on, in Gauteng or online, with the cost shared equally. Mediation is voluntary: neither of us has to try it before going to court, and either of us may end it.
- Courts. The South African courts decide disputes about the service or these terms: the Gauteng Division of the High Court, Johannesburg, or, if we both agree to it in writing for that dispute, a magistrates' court under section 45 of the Magistrates' Courts Act. Either of us may go to court at any time for urgent relief.
- None of this limits your right to complain to the Information Regulator, the Consumer Goods and Services Ombud, the National Consumer Commission or another regulator.
25. Changes to these terms
We may update these terms, for example when the law or the service changes. For a change that matters to you, we will tell you by e-mail or on the website at least 30 days before it applies. If you do not agree, you may cancel before then and we refund any prepaid period left, pro rata. If you keep using Klyvelo after the change applies, the new terms apply. Small fixes (such as typing errors or clearer wording) can apply straight away. The date at the top of this page shows when it last changed, and we keep earlier versions; ask us for one.
26. Notices
- We send notices to the e-mail address on your account, and some also on the Plan and billing page or in the app. Keep that address up to date. An e-mail counts as received when it reaches your mailbox.
- You send notices to our help address.
- Klyvelo accepts delivery of legal documents (service of process) at its business address. Our business address will be published here. You accept it at the address of your business on your account.
27. General
- These terms (with the Acceptable Use Policy, Refunds and cancellation and the Data Processing Terms) are the whole agreement between us about the service.
- You accept these terms electronically when you create an account, by ticking the box that says you agree to them, to our Privacy Policy and to the Data Processing Terms. We keep a record of which version you accepted and when.
- If a court finds part of these terms invalid, the rest still applies.
- If one of us does not enforce a right at once, that right is not given up.
- You may not transfer your account to someone else without our written agreement, which we will not unreasonably refuse when you sell your business. We may transfer these terms to a company that takes over the service, and will tell you if we do.
- We are independent of each other. Nothing in these terms makes either of us the other's partner, agent or employee.
